1. Composition and Appointment
The Program Council serves as a key advisory body within our foundation's governance, bringing together diverse expertise to guide our strategic direction. The Council consists of 3 to 30 members, allowing flexibility to ensure a broad range of knowledge while maintaining effective operations.
Membership in the Program Council is drawn from three distinct groups:
Founders: The original founders of the foundation, who hold permanent membership by virtue of their role in establishing the organization.
The President of the Foundation: The President serves as an ex officio member, ensuring a direct link between the Council's advisory functions and the foundation's executive leadership.
Appointed Members: The Management Board appoints additional members by official resolution. This approach enables the foundation to expand its advisory capacity as needs and opportunities evolve.
2. Qualifications and Expectations
Appointees to the Program Council are selected for their exceptional qualifications and reputation. Candidates must have proven experience relevant to the foundation's statutory objectives, such as expertise in sports, science, culture, social work, education, or public administration.
Furthermore, members must hold a well-established and impeccable social standing. This ensures the Council's advice is informed by individuals with credibility, integrity, and a strong understanding of our societal context. Members act as ambassadors for the foundation and are expected to uphold the highest ethical standards. The value of integrated leadership, our regulations permit the combination of a Program Council membership with other roles within the foundation. Specifically, it is permissible for a member of the Program Council to simultaneously serve as:
A member of the Management Board, or
A member of the Foundation Council.
This provision enables seamless communication and coordination among the foundation's governing and advisory bodies, ensuring that strategic advice is informed by operational realities. This provision automatically terminates a member's participation in the Program Council upon the member's death. For members other than the Founders, membership may also be terminated in two additional ways:
Voluntary Resignation: A member may submit a written resignation to the Management Board. The resignation becomes effective upon its receipt.
Dismissal by the Management Board: The Management Board may dismiss a member based on clearly defined grounds to ensure fairness and maintain the Council's integrity. A member may be dismissed if:
Their conduct is deemed incompatible with the dignity of membership in the Program Council, or
Their actions or behavior undermine the good name and reputation of the Foundation.
This process ensures that the Council remains composed of individuals who are fully committed to the foundation's values and mission. the Foundation. The President may call a meeting:
On their own initiative,
At the request of the Management Board, or
At the request of at least one-third of the Program Council members.
The Foundation Council may also convene Program Council meetings, providing additional oversight and coordination.
All formal decisions of the Program Council are made through resolutions. The following rules ensure democratic and representative decision-making:
Quorum: A resolution is valid only when adopted in the presence of at least half of the Program Council members.
Voting: Resolutions are passed by a simple majority of votes cast.
Casting Vote: In the event of a tie, the President of the Foundation casts the deciding vote to ensure a definitive decision.
6. Voluntary Service
Program Council members serve on a voluntary basis, reflecting their commitment to the foundation's mission and their desire to contribute to the public good. Their service demonstrates dedication to building a healthy, active, and integrated society.
7. Advisory Role and Competences
The Program Council functions as an advisory body to both the Management Board and the Foundation Council. Its primary role is to provide expert guidance and strategic insight, not to exercise executive or managerial authority. It is limited to:
Strategic Direction: Proposing directions and methods of operation for the Foundation, including identifying emerging opportunities, assessing risks, and suggesting long-term priorities.
Activity Programming: Proposing the Foundation's activity program and helping shape annual and multi-annual plans to ensure alignment with our mission and statutory goals.
Statutory Development: Proposing and reviewing amendments to the Statute to ensure our founding document remains relevant and effective.
Advisory Opinions: Issuing opinions at the request of the Management Board or Foundation Council, providing leadership with expert counsel on specific issues, policies, or decisions.
Through its structured advisory role, the Program Council ensures that Fundacja Instytut Edukacji benefits from diverse perspectives and expertise, enabling informed decisions and maximizing our positive impact on the community.
